Terms of service

These Terms of Service ("Terms") govern your access to and use of the Formula Audit XL Excel add-in, website at https://formulaudit.com, and free web tools (collectively, the "Service"), provided by Scalarly Srl ("we", "us"). By installing the add-in, accessing the website, or using the free tools, you agree to these Terms.

1. Licence grant

Subject to your compliance with these Terms and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable licence to install and use the Formula Audit XL add-in on one machine at a time. A licence may be moved between machines using the in-product deactivate/activate controls.

The free web tools are licensed at no cost for personal and commercial use. The add-in may be evaluated free for 7 days; continued use of the add-in after the trial period requires a paid licence (Yearly or Lifetime). All use is subject to the restrictions below.

2. Restrictions

You may not:

  • Reverse-engineer, decompile, or disassemble the add-in
  • Copy, redistribute, or sublicence the add-in to third parties
  • Use the Service to build a competing product or service
  • Share a paid licence key so the add-in is used on more than one machine at a time
  • Use the Service in any way that violates applicable law or regulation
  • Circumvent, disable, or otherwise interfere with licence-validation mechanisms

3. Subscriptions and payments

The Yearly plan is billed once a year and renews automatically until cancelled; cancel at any time from the billing portal in your account and you keep access until the end of the period you have paid for. The Lifetime plan is a single one-time payment and does not renew. We offer a 30-day money-back guarantee on first-time Lifetime purchases. Contact us within 30 days of purchase for a full refund.

The Lifetime plan grants a perpetual licence to use the version of the add-in as it exists at the time of purchase ("as-is"). It is not a guarantee of future updates, upgrades, or new features. We may, at our sole discretion, provide updates to Lifetime licence holders, but we do not commit to maintaining, updating, or supporting the add-in for any particular period. The one-time payment is for the add-in as it stands today.

Prices are stated in US Dollars (USD) and exclusive of any applicable taxes. We reserve the right to change pricing with at least 30 days' notice to active subscribers.

4. Intellectual property

All rights in the Formula Audit XL software, website, and documentation (including source code, trade dress, trademarks, and documentation) remain with Scalarly Srl. These Terms do not transfer any ownership to you.

Your workbooks, models, and data remain entirely yours. We claim no rights over content you create with the Service.

5. Disclaimer of warranties

The Service is provided "as is" and "as available". To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be error-free or uninterrupted, or that it will identify every formula error, inconsistency, or model defect. The Service is a tool to assist model review; it does not replace professional judgment.

6. Limitation of liability

To the fullest extent permitted by law, Scalarly Srl's total liability to you for any claim arising from the Service is limited to the amount you paid to us in the 12 months preceding the claim.

In no event will we be liable for indirect, incidental, special, consequential, or punitive damages, including loss of data or profits, even if we have been advised of the possibility of such damages.

7. Termination

We may suspend or terminate your access to the Service if you breach these Terms or if required by law. On termination, your licence to use the add-in ends and you must remove it from your machines. Provisions that by their nature should survive termination (including sections 4, 5, 6, and 8) will do so.

8. Governing law

These Terms are governed by and construed in accordance with the laws of Italy. Any disputes arising out of or relating to these Terms will be subject to the exclusive jurisdiction of the courts of Milan, Italy, save where mandatory consumer-protection law entitles you to bring proceedings in the courts of your place of residence.

9. Changes

We may update these Terms from time to time. We will post the revised Terms on this page with an updated date and will notify active subscribers by email for material changes. Continued use of the Service after the effective date of any change constitutes acceptance of the updated Terms.
